At LEIALTA, we continue to strengthen our commitment to rigorous and professional knowledge sharing. Our objective is to provide companies with valuable insight while consolidating our position as a leading firm in comprehensive advisory services.
In a context shaped by uncertainty, regulatory changes and the need for anticipation, we have launched a new segment on the business and news programme A Media Sesión on Radio Intereconomía. This space focuses on family businesses and asset protection, areas where preventive and strategic planning is increasingly essential.
In this series, we analyse the main challenges currently faced by family businesses and corporate groups as they grow and evolve. We also provide practical guidance and actionable solutions from a professional and strategic perspective.
In this first appearance, Javier Martínez, Partner and Director at LEIALTA, addresses the current challenges of family businesses.
Asset Restructuring
It is worth noting that approximately 85 percent of the business fabric in Spain consists of SMEs, many of them family owned.
As highlighted during the programme, family businesses remain a key driver of the Spanish economy. However, they are also among the structures most exposed to risks arising from inadequate asset planning, which may jeopardise long term continuity.
Improper asset structuring can generate personal liability for business owners, particularly where there is no effective separation between corporate and personal assets. For this reason, asset restructuring becomes a key preventive and protective tool.
When to Consider Asset Restructuring
There are specific situations where it is especially advisable to assess and, where appropriate, implement an asset restructuring process. These include:
- Business growth, when the original structure is no longer appropriate for the level of activity or risk assumed.
- Excess liquidity concentrated in a single company or in the individual entrepreneur, increasing exposure to liability.
- Entry of the next generation into the family business, requiring a review of the corporate and governance structure.
- Lack of clear succession planning, with potential tax implications in Spain and future conflicts among heirs.
Although conceptually straightforward, asset restructuring is technically complex without the support of experienced professionals with specialised expertise.
How We Approach Asset Restructuring at LEIALTA
At LEIALTA, we provide a comprehensive approach and continuous support, from the initial assessment through to full implementation. This is carried out in accordance with the applicable legal and tax framework in Spain, including oversight by the Spanish Tax Agency (AEAT).
Our objective is to support companies and families not only in critical situations, but also in long term planning and strategic decision making.
